Katherine Frank is a Partner in the Capital Markets and Mergers & Acquisitions group at Vinson & Elkins in Dallas, Texas. Katherine’s principal area of practice is corporate finance and securities law, including capital markets transactions, mergers and acquisitions, private equity and general corporate representation. Katherine has assisted private and public company clients in capital markets transactions such as registered offerings of debt and equity securities, private placements of debt and equity securities, and at-the-market continuous offering programs (ATMs). Rebecca Fike is a Partner in the Shareholder Litigation & Enforcement, Government
Investigations & White Collar Defense group at Vinson & Elkins in Dallas, Texas. She is an
experienced litigator focused on government and internal investigations, and SEC and white
collar defense. As Senior Counsel in the Securities and Exchange Commission’s Division of
Enforcement for nearly 10 years, Rebecca conducted more than 60 investigations, including
three “Top 5” national priority investigations. At the SEC, she ran all aspects of her
investigations, including crafting case strategy, conducting on-the-record testimony, negotiating
settlements, and drafting civil complaints and settlement documents. She frequently conducted
investigations in parallel with the Department of Justice and other civil and criminal agencies.
The SEC recognized Rebecca for her efforts with an Annual Enforcement Director’s Award for
excellence in investigative work, as well as the inaugural Performance Incentive Bonus award
for demonstrating an “extraordinary and rare level of performance that significantly surpasses the
requirements of the job.”
Rebecca brings clients a current, insider’s perspective on how to best guide them through the
reality of today’s SEC investigations. Since her return to private practice, Rebecca hassuccessfully defended companies and individuals in SEC and other regulatory matters. She frequently represents Boards and Board Committees when conducting internal investigations, and counsels corporate clients on SEC enforcement risk and potential liability. She is a thought leader in the SEC space, appears regularly on CNBC and other TV programs, is often quoted in the press, including recently by Forbes, Politico, Bloomberg, Reuters, and Law 360.
